Jordans, the UK‘s largest independent provider of professional business services and information to companies and their advisers, has launched a Company Healthcheck service.
The Company Healthcheck is designed to address current challenges of the Companies Act 2006 and Charities Act 2006, as faced by private companies, charitable companies, not-for-profit companies, trading subsidiaries of charities or non-charitable “not-for-profit” companies limited by guarantee.
The Companies Act 2006 was passed with the express aim of simplifying company administration and reducing red tape, while the Charities Act is the biggest upheaval for the charitable sector in England and Wales for over 400 years.
Cecile Gillard, Head of Charities and Voluntary Sector and an expert in company administration says: “We have developed our Company Healthcheck in direct response to feedback from our customers.
“Many company directors and trustees of charitable companies are concerned about the changes, uncertain which obligations have been removed and which still apply under their company‘s articles, what constitutional changes should be made and what the practical implications are for their organisation.
“Our new service can address all of these issues, give valuable peace of mind and ensure that your company can take advantage of the opportunities available.”
Both the Companies Act and the Charities Act herald a period of unprecedented change and are being implemented in stages, with transitional rules for existing companies and supplementary regulations adding further requirements.
Jordans will review and make recommendations to update the company‘s memorandum and articles of association, providing a comprehensive checklist of the areas in need of revision, advise on future action and provide guidance on making the appropriate amendments.
There are significant changes for charitable and commercial companies, not-for-profit companies and trading subsidiaries of charities, in particular relating to members‘ rights, general meetings, directors‘ duties, charitable purposes/objects and, for charities, their public benefit obligations. There are also changes in reporting and public accountability requirements.
